Birthkind Member Agreement
This Agreement (“Agreement”) is made between (“Birthkind”, “we”, “our”) and , (“Member”, “you”, “your”). Together, we are the “Parties.”
We enter into this agreement in the spirit of partnership. Birthkind’s goal is to help you focus on your clients and the heart of your doula work, while we take care of administrative support, client booking, and virtual support to help you feel resourced and connected.
Birthkind Membership is designed to provide:
Administrative and client booking support to reduce your backend workload.
Monthly contract tracking and financial reporting so you can focus on care, not paperwork.
Virtual support to help ensure your clients are always well cared for.
Community and accountability, including adherence to Birthkind’s Community Guidelines, which are incorporated into this Agreement.
We are here to help you thrive as a doula while ensuring your clients receive high-quality care.
2. Profit Share and Payment Terms
You agree to pay Birthkind 15% of the gross revenue per client contract that Birthkind books and manages for you.
All client contracts remain directly between you and your clients. You are responsible for service delivery and collecting payment from your clients.
Birthkind will issue a monthly invoice for all 15% shares earned during the prior month.
Invoices are Net 30, and can be paid via ACH transfer or card.
Late payments may result in temporary suspension of membership services.
2.4 Profit Share is Non-Refundable
Birthkind’s portion is owed for any contract we manage once booked, even in cases of client cancellation, unless Birthkind agrees otherwise in writing.
You are solely responsible for any applicable taxes on income you receive from clients.
Birthkind charges a one-time onboarding fee of $1,200 to cover account setup, systems access, and initial support. This fee is fully waived when you join, as long as you remain an active Member for at least twelve (12) months from the Effective Date.
If your membership ends before you complete twelve (12) months, the full $1,200 onboarding fee becomes due, except where Birthkind ends your membership without cause. Birthkind will issue an invoice for the onboarding fee following the end of your membership, payable Net 30.
3. Member Responsibilities
By joining this Membership, you agree to:
- Maintain current certifications, licenses, and insurance required to practice in your state.
- Provide timely updates on client bookings, schedule changes, and cancellations.
- Deliver services in a professional, compassionate, and evidence-informed manner.
- Provide services only as authorized under your professional license, certification, or applicable governing regulations.
- Follow Birthkind’s Community Guidelines and uphold the values of inclusivity, collaboration, and respect in all client and community interactions.
- Remain in good standing with monthly invoice payments.
4. Birthkind Responsibilities
- Book and manage client contracts on your behalf for the scope of your membership.
- Provide virtual support to help ensure clients receive continuity of care.
- Track and report the 15% revenue share owed each month with clarity and transparency.
- Support your growth as a doula through guidance, accountability, and access to our systems.
This Agreement begins on the Effective Date and continues on a month-to-month basis.
5.2 Termination Without Cause
Either Party may end this membership with 30 days’ written notice.
5.3 Termination for Cause
Birthkind may end the membership immediately if you:
- Fail to pay invoices within 30 days of the due date;
- Violate the Community Guidelines or applicable laws;
- Engage in conduct that harms clients or Birthkind’s community.
5.4 Obligations After Termination
Any unpaid invoices remain due, and Birthkind will retain its 15% share for all contracts booked prior to termination. If your membership ends before twelve (12) months from the Effective Date, the waived $1,200 onboarding fee also becomes due as described in Section 2.6.
6. Standards and Guidelines
Your participation in this membership signifies agreement to follow:
Birthkind may update these guidelines or terms at any time. By continuing participation, you agree to the current versions posted on our website.
7. Limitation of Liability
Birthkind’s role is administrative and supportive. We are not liable for indirect or consequential damages arising from your direct client work. Our total liability under this Agreement shall not exceed the total profit share paid to Birthkind in the six (6) months prior to any claim.
If a disagreement arises, the Parties agree to first seek resolution in good faith. If unresolved, disputes shall be resolved by binding arbitration in the State of Oregon, unless otherwise required by law.
This Agreement, along with the Community Guidelines and Terms of Service referenced herein, constitutes the complete understanding between the Parties. It supersedes any prior discussions or agreements, written or oral.
